The owners of Primary Natural Resources, Inc. are offering for sale 100% of the stock of the company, which owns extensive oil and gas assets in the prolific Powder River Basin of northeast Wyoming.
Primary is headquartered in Tulsa but essentially all properties are located in Wyoming. At July 1, 2007, Primary owned 389 producing (99% operated) oil and gas wells, including 133 Muddy, Frontier and Dakota Formation wells and 256 CBM wells, mostly in Campbell County, Wyoming.
Hilight Field comprises the majority of production, reserve value and significant upside. This field includes three operated Muddy units (collectively part of the second largest Muddy field in the United States) covering over 49,000 gross contiguous "unit" acres, 1,330 adjacent "non-unit" gross acres producing from the Muddy and the Niobrara and over 17,370 gross acres with upside for the Niobrara and Turner Formations. The CBM production and related upside (over 18,000 undeveloped gross acres) is contiguous to and overlays the three units.
Primary also operates wells in Carbon, Natrona and Crook Counties, Wyoming and Dewey and Woodward Counties, Oklahoma.
Tristone Capital has been retained to provide transaction and technical advisory services for this transaction.
